Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Lumio ("Lumio", "we", "us", or "our") governing your access to and use of the Lumio website, applications, and services (collectively, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

When a school or district creates accounts on behalf of students, the school is the data controller for student records and represents that it has authority (including parental consent under COPPA where required) to make the Service available to those students. Schools may add, suspend, or remove user accounts at any time.

You retain all rights in the content you submit to the Service ("User Content"). You grant Lumio a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely to operate, secure, and improve the Service for you and (where applicable) your school. This license ends when you or your school deletes the content, except for residual copies in routine backups.

5. AI features and outputs

The Service uses artificial intelligence to generate explanations, feedback, and suggestions. AI outputs may be inaccurate, incomplete, or biased and should not be relied on for medical, legal, financial, or mental-health decisions. You are responsible for reviewing AI output before relying on or submitting it. We do not guarantee that AI output is original or free of resemblance to third-party works.

6. Advertising and free service

Lumio is provided free of charge and is supported by advertising shown to verified adult users. By using the Service you consent to the display of such ads. We do not serve ads to students under 18 and do not serve any ads to users under 13.

7. Intellectual property

The Service, including its software, design, branding, and content (other than User Content), is owned by Lumio or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

The Service may link to or integrate with third-party services (e.g., school information systems, ad networks, AI providers). We are not responsible for those services, and your use of them is governed by their own terms and policies.

You may stop using the Service or close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) will survive.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless Lumio from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms or any law.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits any rights you have under mandatory consumer or student-privacy laws of your home jurisdiction.

14. Changes to the Service or these Terms

We may modify or discontinue the Service at any time. We may also update these Terms; if changes are material, we will provide reasonable notice. Continued use after the effective date constitutes acceptance of the updated Terms.
